Corporate Counsel The candidate will negotiate and draft master subscription agreements, consulting agreements, alliance agreements and other types of agreements with customers and partners in support of global Sales, Professional Services and Alliances organizations. Partner with Sales, Professional Services, Customer Success and other internal business constituents throughout the customer lifecycle to ensure customer success and protection of firm. Develop standardized templates and processes for repeatable transactions that will advance and scale business. Evolve and refine these periodically to increase efficiency, support company initiatives, and align with legal developments and current business trends. Partner with Finance, Product, Sales, Revenue Operations, Privacy, Security, and other stakeholder teams to ensure templates are consistent with internal corporate policies and processes. Review and negotiate procurement contracts needed for the business. Engage with customer success and other stakeholders to prevent and manage commercial disputes. Proactively identify business and legal risk areas and work with the legal and cross functional teams to mitigate. Play an active role in the ongoing implementation of a contract management system for all contracts, as well as creating a one-source-of-truth database for commercial terms and legal metrics. Be ready to jump into new company and team projects as need arises. Undergraduate degree and a Law degree from highly regarded school required. 4+ years combined experience in law firm and/or in-house legal department required. Substantive experience negotiating and drafting technology license/SaaS and consulting agreements required. Excellent written/verbal communication and negotiation skills required. Familiarity with, or willingness to learn, technical, privacy and security concepts required. Ability to organize, prioritize and manage deadlines in a fast-paced work environment required. Ability to maintain strong working relationships with internal clients, utilizing a responsive and service-oriented approach required. Sound and practical business judgment required. Substantive expertise in IP, privacy, or corporate law preferred. Experience in supporting sales departments as an internal client preferred. Familiarity with Salesforce and Salesforce platform agreements preferred. Collaborative team player with a roll-up-your sleeves attitude preferred. Admission to CA state bar preferred.
