Corporate Counsel Duties: Draft, review, negotiate and interpret a variety of inbound and outbound contracts, including Software as a Service (SaaS) agreements, data and technology licensing agreements, data protection services, consulting agreements, master services, non-disclosure, and general corporate agreements. Stay up to date and ensure compliance with various data security and privacy laws and work closely with our various business units to provide guidance on data privacy issues. Collaborate with other members of the Legal Team to refine standard processes for contracting and complying with contractual obligations. Implement strategic sourcing best practices and advise on the business terms of established commercial agreements, ensuring that terms have long-term applicability to business needs. Draft terms, policies, and disclosures, and create and implement related processes with buy-in from stakeholders within and outside of legal. Provide strategic and legal advice to internal clients. Participate in the administration and resolution of legal issues that arise in existing commercial relationships. Contribute to other legal department goals and duties as needed.
Qualifications: JD from an accredited law school; licensed and in good standing to practice law. 7 years of legal experience, including at least 4 years within the technology transactions group at a leading law firm. In-house experience is preferred. Strong contract drafting and negotiation skills and prior experience with various technology agreements (including but not limited to SaaS, in/outbound licensing, EULA, and partnership) required. Outstanding judgment with the ability to understand the criticality and urgency of and issues and prioritize them as appropriate within a fast-paced environment, providing clarity and direction to the team and to others throughout the company. Strong business judgment to anticipate legal issues or risks and build the processes and systems to prevent them from occurring. Capability to manage a high volume of complex commercial contracts. Ability to apply a high level of discretion, common sense, and good judgment to ambiguous situations. Highly skilled with negotiating and drafting a wide variety of contracts with minimal supervision, utilizing fair, deliberate, and results-oriented negotiation techniques. Excellent communication and interpersonal skills with a proven ability to communicate complex legal concepts confidently and effectively across multiple departments and levels within the organization.
