Senior Counsel, Corporate & Compliance Responsibilities: Support corporate governance and reporting, including handling board of directors and shareholder matters. Lead and manage corporate disclosure controls and procedures. Advise and support corporate governance and compliance matters concerning domestic and international subsidiary formation and administration. Support maintenance of corporate governance policies and charters. Lead risk mitigation efforts and implementation of compliance controls, coordinating with other stakeholders. Support global compliance program, including due diligence of third parties. Maintain and enhance compliance policies, data analysis, systems and processes, as well as enhance trainings and provide training to various business groups. Advise on risk management issues arising from various business and functional groups. Monitor, report results, and advise on business risks and effectiveness of compliance efforts. Analyze contract provisions to ensure compliance with laws, regulations, and company policies and procedures as well as acceptable levels of risk tolerance. Draft compliance related language for contract templates; assist in contract negotiations and advise on specific contractual risks as needed. Provide other compliance and legal support based on the company's needs. Partner effectively with global cross-functional internal teams to develop scalable processes and procedures. Lead various legal department initiatives and projects.

Qualifications: JD degree and licensed to practice law in the United States. 8+ years of law firm and/or in-house experience focusing on corporate governance and compliance matters. Self-starter, can-do attitude combined with a collaborative working style. Ability to explain legal concepts to non-attorney in-house clients; and ability to understand and integrate business objectives into coherent and enforceable legal documents. Ability to perform well under tight deadlines. Strong communication and inter-personal skills. Interest and familiarity with energy efficiency preferred. In-house and start-up experience preferred. Excellent ability to learn and to wear multiple hats. Have an ergonomically correct and functional work-from-home workstation set up; amenable to working from home for the foreseeable future.
