Director, IP/Corporate Counsel Responsibilities: Strategic planning of IP portfolio. Patent prosecution. Planning of IPPC agenda and calendar. Freedom to operate analyses. Identification and protection of company trade secrets. Trademark analysis and registration. Copyright issues. Support of IP diligence by the company, its partners, and underwriters. Management of law firms providing IP counsel to the company. Training of company employees on IP processes and policies. Drafting, review, and negotiation of day to day agreements: confidentiality agreements, material transfer agreements, sponsored research agreements, clinical trial agreements, master services agreements, and consulting agreements. Drafting, review, and negotiation of university licenses and option agreements. Counseling of R&D teams on contracts process. Other responsibilities will be assigned as needed and may include compliance activities, process and policy development, and training of company employees on key legal and risk management topics. Other duties as assigned. Nothing in this job description restricts management's right to assign or reassign duties and responsibilities to this job at any time.

Qualifications: JD degree or equivalent. PhD or MS in molecular biology, genetics, biochemistry, or other biological field related to the biopharma industry. Admission to at least one state bar (preferably CA). Registered to practice before the United States Patent and Trademark Office Experience: 7 + years of patent prosecution experience in the life sciences field, particularly in biopharma. 7 + years of practice as an attorney (can be a combination of law firm and in-house experience). In-house experience in and knowledge of the life sciences industry, especially the biopharma sector. Experience in counseling life sciences R&D teams with respect to day-to-day transactions. Experience reviewing and negotiating confidentiality agreements, material transfer agreements, sponsored research agreements, clinical trial agreements, master services agreements, and consulting agreements. Excellent analytical, written, and verbal communication skills. Service-oriented focus with the ability to work as part of cross-functional teams and drive results. Highest integrity, excellent judgment, and the ability to proactively recognize and effectively communicate legal issues to the Chief Legal Officer and other members of company management.
