Corporate Counsel I Duties: Provides legal advice and support to the Company under the supervision of a senior Company attorney by responding to legal issues and needs for an entire business sector (e.g. Nuclear, Generation, Power Delivery & Utilization, Transmission, and Energy & Environment) or subject matter/business area (i.e., international, government, ITAR/CUI, IT, Finance, etc.), and is able to prioritize and juggle competing demands with a moderate level of support from the other the Company attorneys. A particular need would be in the area of supporting the legal review of the U.S. and international bid opportunities with various funding agencies (e.g., DOE, DOD, CEC, USTDA, US AID, World Bank, Horizon Europe (EC), as well as foreign governments) and commercial entities, and related contract documentation in a nimble, ethical and risk-intelligent fashion, as well as the support of the Company's ITAR and CUI compliance programs. Assists in providing legal services to the Company under the direction of senior the Company attorneys and the General Counsel, including legal advice, representation, and support to the Company management and staff in order to facilitate achievement of the Institute's goals, while anticipating and managing risk to protect the Institute. Analyzes and negotiates proposed contractual and licensing transactions evaluates compliance with applicable law and policy. Drafts, negotiates, and finalizes licenses and other agreements with the Company's members, funders, contractors, and other third parties; provides specific assistance on international and compliance matters. Makes recommendations to senior Company attorneys or management on variance from standard policies and legal terms, including for barter transactions, Intellectual Property justification memorandums, memorandums of understanding, privacy, security, and international transactions. Drafts transactional and other documents, including procedures and processes in support of the Company policies. Researches and analyzes legal issues on a broad spectrum of subjects that could include among others: intellectual property; legal and regulatory compliance issues (such as export control, Foreign Corrupt Practices Act, anti-boycott, privacy, and antitrust); corporate governance issues; tax-exempt corporation law. Perform other duties as needed.
Qualifications: Law Degree from Nationally Accredited Law School or foreign equivalent. Bar Membership in good standing in any of the states CA, TN, DC, NY, or NC. 1-5 years of applicable experience. Both law firm and in-house counsel experience are a plus. Familiarity with enterprise resource planning and enterprise content management is an asset. Basic knowledge of intellectual property law (licensing) and experience drafting licenses or other contracts. Working knowledge of tax exemption laws applicable to scientific research organizations, licensing (including software), and copyright. Experience with international transactions is preferred. Additional requirements for International Corporate Counsel I: Solid international business experience, knowledge of at least one foreign language pertinent to EPRI's business (preferably two), and familiarity with international compliance issues, such as export control or the general data protection regulation. Strong ability to express complex ideas orally and in writing. Integrity, strong work ethic, and ability to manage varying priorities and deadlines. Enthusiasm for solving problems and working in a team/collaborative environment. Ability to independently work on problems of moderate scope where analysis of situations or data requires a review of a variety of factors.
