Corporate Attorney Duties: Drafting, reviewing and closing a broad range of commercial agreements including software licensing. Training the regional sales team, updating legal playbooks and improving contracting documents and processes. Assisting the with expansion into new geographies, setting up regional entities and managing intra-group relationships. Assisting with legal department projects, including efforts to develop, implement and enhance processes that improve transaction velocity without material increases in risk. Quick adoption of legal technology tools. Providing accurate and timely business advice on commercial agreements, contracts, general terms, and other legal documents such as NDA's etc. Providing legal support on corporate law / governance and legislative development as needed. Drafting and reviewing internal policies to ensure compliance with all statutory and legal requirements and the guidelines of our shareholders. Assisting with structuring and drafting of template agreements, general terms and conditions to be used by the business. Developing creative solutions to meet internal and external customers needs while complying with organizational guidelines. Anything else that gets thrown way as needed to support a high-growth, dynamic, and innovative organization. Qualifications: 5+ years legal experience with a firm, in-house or other type of role. Experience drafting and negotiating end user license agreements, SaaS agreements, operation and maintenance agreements, confidentiality agreements, and other technology-related agreements, including data processing agreements and service level agreements (SLA), reseller, strategic partnership, and general commercial agreements. Strong experience in commercial contracting, licensing, technology transactions, compliance and regulatory matters. Experience advising senior business leaders on data security and privacy implications of existing and new technologies and/or platforms is also preferred. Strong interpersonal skills. Experience working independently but in sync with a legal team reporting to the General Counsel or having direct contact with general counsels as an associate in private practice. Interest in clean energy; electric transportation; sustainability. Exceptional written and verbal communication skills. Good organizational and process management skills. Ability to work across functional areas within a company to achieve win-win result. Flexible and practical, able to work in a dynamic, ever-changing environment with a high level of adaptability. Must enjoy juggling multiple priorities. Enjoyment and ease in communicating complex ideas in simple language to non-lawyers. Demonstrated ability to balance risks and rewards against a backdrop of competing priorities and stakeholders.
