Corporate Attorney Duties: Contract drafting, negotiation and advisory responsibilities. Provide strategic business and legal support on an array of issues, including risk management. Research and evaluate different risk factors regarding business decisions and operations. Provide support to the business on other legal matters on an as-needed basis. Provide legal advice regarding data privacy laws, regulations, compliance and employment law requirements. Partner with business departments, to discuss and implement best practices and formulate new processes in connection with business needs. Build and maintaining relationships with internal parties and members of the organization; as well as understand the relationships and needs of external parties. Resolve a variety of disputes and potential claims and supervising external counsel in litigation matters. Research and evaluate different risk factors regarding business decisions and operations. Provide support to the business on other legal matters on an as-needed basis. Work closely with functional groups in all stages of acquisitions, from drafting term sheet, managing deal process, performing due diligence, drafting and negotiating definitive documentation, closing deals to post-closing integration issues. Assist in developing legal strategy on acquisitions. Qualifications: J.D. degree from an accredited law school and California bar membership in good standing. Must have 6+ years of legal experience, including prior experience working in a top national or international law firm. Prior experience in M&A a plus. Experience drafting and negotiating Acquisitions, Marketing agreements and Distribution agreements. Experience working independently, making decisions that have both legal and business impact, and managing multiple projects simultaneously. Ability to work effectively and collaboratively cross-functionally, think creatively and be solution-oriented. Excellent organizational skills with ability to work under pressure and deadlines. Excellent judgment and ability to make sound decisions in a fast-paced environment. Ability to handle a high volume of work, and work through projects with minimal supervision. Desire to partner with business executives to provide solutions. Strong analytic skills. Concise writing skills.
