Senior Corporate Counsel

Senior Corporate Counsel, Marketing Duties: Provide legal counsel to marketing and sales teams on global advertising, growing brand awareness, go-to-market activities, demand generation, content review, policy and repetitional matters. Advise internal teams on compliance around sales, marketing, and media campaigns for new products, including product claims, substantiation standards, promotions, endorsements and testimonials, competitive advertising, and sponsorships. Ensure compliance with trademark, copyright, consumer protection, and advertising laws (including matters relating to GDPR, CAN-SPAM, cookie practices, opt-in/-out). Counsel and advise on marketing content including website posts, online campaigns, promotions, and press releases. Review and advise on consumer-facing sales and marketing materials. Draft, review, and negotiate various types of licensing and marketing agreements- including advertising, promotional, branding, sponsorship, co-marketing, and partnership agreements. Draft concise public-facing disclosures, disclaimers, terms of use, or other public-facing documents for our customers to ensure accuracy and consistency. Develop policies and best practice procedures and templates for all aspects of marketing programs and initiatives. Create and maintain playbooks. Develop and provide regular training to marketing, sales, legal and other relevant teams, as necessary, on new developments in the law that affect our businesses. Pitch in on other legal support as business needs may require.

Qualifications: JD Degree and admission to the bar and in good standing in one state bar (New York or California Bar membership preferred). 7+ years of legal experience in private practice and/or in house with a focus in marketing and advertising law (bonus points for in-house SaaS experience). Experience in marketing, content licensing, brand advertising, and/or technology transactions, including communicating and collaborating effectively with marketing, sales, or products teams. Experience drafting and negotiating a wide variety of contracts as they relate to marketing and advertising. A strong working knowledge of trademark and copyright protection, data and privacy issues, false advertising, consumer protection, and other relevant laws and regulations. Experience reviewing website content, online campaigns, promotions, sweepstakes, and press releases to ensure compliance with marketing & advertising laws. Exceptional organizational skills with the ability to manage multiple projects simultaneously, multi-task in a fast-paced environment, adjust to rapidly changing priorities, and drive strategic projects to successful delivery. Strong interpersonal and collaboration skills, including the ability to communicate effectively across cross-functional teams, build consensus among stakeholders, and maintain strong relationships at all levels across the organization. Excellent judgment and ability to handle sensitive and confidential information. Demonstrated good judgment and ability to identify, work with and manage outside counsel with respect to cost and the delivery of substantive counsel. Nice to have: experience identifying and working on regulatory, IP, litigation, transactional, privacy, and international legal matters.
