Corporate Counsel - Asset Based Lending RESPONSIBILITIES: Maintain current knowledge of federal and state laws and regulations, as applicable, along with the Bank's policies and procedures. Work with in-house and external legal counsel to develop loan documentation templates for various lending products and programs. Responsible for maintaining loan documentation templates including, but not limited to reviewing periodically for regulatory compliance (and making changes as necessary to ensure such compliance),, correctly perfect collateral under the applicable jurisdiction, are jurisdiction-specific, as applicable, and account for various complex borrower entity structures including foreign entity structures. Review loan documentation templates on a periodic basis to ensure the documents are drafted to mitigate lending risk, as appropriate. Serve the bank as the subject matter expert on the loan documentation templates. Work with third-party custodians to develop mutually acceptable account control agreements (ACA) and maintain such approved ACA templates. Oversight of in-house loan documentation system, currently using LaserPro, to document Standby Letters of Credit, produce borrowing resolutions, and use for other commercial loans as needed. Ensure that all loan structures and documents follow and adhere to regulatory requirements (Reg B, Reg O, appraisal regulations, etc.), and provide lender security. Review UCC filings, including any third-party filings, and other perfections to ensure the bank's collateral is adequately secured and perfected in accordance with loan approval and jurisdictional requirements. Understand and draft language for various financial covenants as well as work with internal departments (Underwriting) as necessary to draft such language. Responsible for all loan documentation negotiations with loan borrowers and legal counsel including acting as an intermediary between borrowers and custodians, as applicable, as well as internal counsel and borrower as necessary. May work with external domestic and foreign legal counsel for complex negotiations. Ensure all required entity documentation has been obtained including all required resolutions or written consents. Guide documentation team in the production of acceptable resolutions when and where applicable. Review and opine on complex entity documentation. Responsible for review of legal opinion letters to ensure all necessary opinions related to the loan transaction are provided. Responsible for loan document production oversight to ensure prompt and accurate output according to approved loan terms and bank policy. Responsible for engagement of external legal counsel for selected loan transactions and other legal guidance. Ensure timely and accurate communication with all internal departments and personnel. Ensure coordination of loan closings with closing staff and loan officers is handled efficiently. Responsible for extension of commercial standby letters of credits ensuring the terms of the letter of credit mitigate risk to the bank. Work with senior management and department directors on development of lending programs and products. Work with internal and external counsel to review and approve various lending jurisdictions. Responsible for obtaining engagement agreements once domestic or foreign counsel is selected and ensuring all legal bills are paid in a timely manner. Collaborate with lending officers to provide excellent customer service to our clients. Ensure department staff is properly trained including attendance in internal and external seminars relating to commercial lending and regulatory requirements. Responsible to ensure the team maintains an audit-ready status to obtain successful results with Internal reviews and external bank examinations. Maintain current knowledge of all federal and state laws and regulations, along with the Company's policies and procedures. Not to harm consumers with any act that could be misleading, unfair, deceptive, or abusive in act or practice. Daily supervision of the loan documentation team which consists of a Commercial Loan Administration Manager and two-three Loan Documentation Administrators. Develop and grow the team and provide guidance as needed. Provide training to the team to minimize risk for the organization. Motivate staff in a fast-paced and deadline-driven environment. Responsible for the development and maintenance of department procedures. Interacts with all levels of management and staff. Also interacts with borrowers, legal counsel, and third-party vendors such as collateral custodians and servicers.

Qualifications: Must have a four-year college degree; Juris Doctor required. Should have 10 years of experience in commercial loan documentation or similar legal documentation work. Extensive knowledge of commercial lending, and loan documentation with strong experience in drafting and negotiating loan documents, including Standby Letters of Credits. Digital currency lending or asset-based lending experience a plus. Knowledge of required financial data for loan processing and decision. Extensive knowledge of entity documentation, both domestic and some foreign jurisdictions. Ability to determine enforceable signing authority and required resolutions/consents. Excellent verbal and written communication skills are a must. Proficiency in LaserPro or other loan documentation software, Excel; Microsoft Word; Microsoft outlook; PowerPoint, and the internet. Ability to assess loan structures, and determine required loan documentation and language to properly collateralize loans and mitigate bank risk. Ability to assess collateral lien issues and develop resolutions to ensure proper priority and perfection.
