Corporate Attorney Duties: Serves as the sole legal adviser to senior management and other leaders on a broad range of laws, regulations and policies that impact the Company, including presenting the legal implications of business decisions and company initiatives. Works with leaders to identify, describe and appropriately address potential Company risk/exposure and compliance matters; oversees development of actionable business plans to ensure compliance. Participates in the drafting and approval of responses to legislative, legal or public inquiries on legal information about the Company. Provides overall leadership and management of all corporate, employment, and contract legal matters, facilitating the legal aspects of Company strategic and tactical initiatives. Oversees the development and implementation of policies to ensure integrity and ethical behavior throughout the Company and in relationships with vendors, suppliers, service providers, and other business contacts. Advises on contests, promotions, and advertising compliance, specifically related to social media and digital platforms. Facilitates and manages the appropriate use of outside counsel as required to complement internal legal resources; determines case assignments; communicates the Company's business objectives and practices; provides general direction on course of action and legal proceedings; manages services and costs; monitors performance to ensure effective representation. Stays current on legislative and administrative regulatory developments; educates on key legal and legislative development/issues; interprets laws, rulings, and regulations. Performs other related duties, tasks and responsibilities as required, assigned and directed. Negotiation and drafting of complex, franchise, and licensing agreements. Responsible for managing and overseeing the legal aspects of the company's real estate activities, operations, and transactions. This includes the negotiation and drafting of various legal documents and agreements. Serve as a point of escalation for franchisee real estate related concerns Lead efforts to prepare and update forms, policies and processes as needed and prepare other communications to support the business. Review all documents and communications related to litigation matters, including all court filings, response filings, memorandum and communications from counsel, and all documents and information being provided as part of discovery responses. Develop strong understanding of the various proprietary service and technology offerings made available or under development by Qdoba and cooperate with IP counsel to consistently implement the company's IP strategy across all contractual relationships.

Qualifications: JD Degree from accredited law school; preferred to be licensed to practice law in the state of California. 8+ years substantial legal experience, preferably in a multi-unit restaurant, retail or hospitality company. Experience with franchise and company operations highly preferred. Requires in-depth knowledge of applicable legal concepts, practices, and procedures across a broad range of areas (i.e. employment, contracts, litigation, etc.). Ability to identify and analyze legal issues, draft key documents, and present clear recommendations to assure legal compliance. Strong problem solving and decision-making skills. Strong leadership skills and role model of exceptional work ethic for the Company Sharp attention to detail, thoroughness and excellence in all aspects of work; maintains confidentiality. Excellent oral and written English communication, interpersonal, presentation and planning skills at a macro level. Proficiency in Microsoft office applications (Word, Excel, Powerpoint, Outlook). Demonstrates integrity and ethical behavior. Strong leadership and management skills to motivate employees, retain critical talent, and hold teams accountable.
