Senior Associate Counsel, Corporate

Senior Associate Counsel, Corporate The candidate will advise on multiple M&A integration projects simultaneously, including the oversight of external counsel. Lead the Legal function effort working closely with functional teams, including Finance, Tax, Treasury and Human Resources to develop and implement pre and post-closing onboarding and integration execution. Identify and contribute key learnings to continuously improve our M&A integration playbook. Effectively problem solve when challenges/issues to integration arise. Assist with corporate reorganizations, including consideration of local regulatory matters in partnership with other members of the Legal team. Support the Global Legal Entity Management Team in all governance matters and management of legal entities. Support for other corporate projects, as needed. Should have 5+ years of experience, ideally including in-house experience. Juris Doctor degree or foreign equivalent. Admission to practice law in at least one U.S. jurisdiction. Broad corporate experience, including M&A, other corporate transactions and knowledge of legal entity structures and corporate governance issues. International experience preferred, ideally with experience in complex cross-jurisdictional projects. Excellent analytical skills combined with a practical approach to problem solving. A high level of self-motivation, initiative, and ability to operate effectively as a team player across different business units. Ability to be responsive and flexible in a fast-paced and challenging environment. Ability to prioritize and manage multiple projects simultaneously. Strong organizational skills and meticulous attention to detail. Excellent verbal and written communication skills.
