Senior Corporate Counsel I - SEC Reporting and Corporate Law The candidate will advise on corporate finance and securities law matters, including preparing SEC filings such as Forms 10-K, 10-Q, 8-K and S-8, Proxy Statements, and Section 16 reports. Assist with the preparation and planning for the annual meeting of shareholders. Monitor and analyze regulatory developments and best practices in the securities and corporate governance arenas and drive change and education within the company. Support capital markets transactions including debt offerings, credit agreements, and other treasury?related matters. Manage corporate governance requirements for global subsidiaries. Establish new entities and manage the liquidation, dissolution, and reorganization of entities. Provide advice and counsel on general corporate and corporate governance matters. Should have a Bar admission in good standing, with a preference for admission in California, Colorado or Minnesota. Strong substantive experience with SEC reporting ( 33 and 34 Act) and securities laws, preferably from a combination of top tier law firm and public company in-house work. Knowledge of corporate law, corporate governance standards and trends. Subsidiary management experience would be a plus. Capital markets experience would be a plus. Familiarity with equity compensation plans and executive compensation would be a plus. Ability to develop legal strategies, foster teamwork and collaboration and drive results. Organized, hard-working and highly professional, with the ability to thrive in a fast-paced work environment, manage numerous projects simultaneously without compromising attention to details, and exercise sound judgment. Ability to communicate professionally and effectively, write clearly and concisely, and manage tasks to deadline. Ability and desire to help the team live our company values of Integrity, Inclusion, and Innovation. Excellent written and oral communication skills and a team-oriented approach.
