Corporate Counsel Duties: Act as legal lead on financing transactions for solar energy facilities, including construction financing, term debt, tax equity financings and refinancing transactions. Work with finance team to structure and plan financing transactions. Draft and negotiate financing documents including loan agreements, partnership agreements, security agreements and guarantees. Act as legal lead on the acquisition and sale of solar energy facilities at all stages of development, construction or operation. Work with finance team to structure and plan M&A transactions. Draft and negotiate transaction documents including purchase and sale agreements, disclosure schedules, and other ancillary documents. Work directly with outside lenders, tax equity investors, project buyers and sellers and other business partners to negotiate commercial issues. Coordinate diligence efforts on both project finance and M&A transactions, working closely with the company's finance and development teams. Draft, review, and negotiate EPC agreements, master supply agreements and purchase orders. Assist procurement and construction management teams in running RFPs. Draft and negotiate other miscellaneous commercial contracts as needed. Manage internal paralegals to support transactions and contract negotiations. Manage outside legal counsel, as needed, to facilitate project finance and M&A transactions or procurement efforts. Engage with internal executives, Investment Committee and Board of Directors, and external investors and corporate leaders, in support of approving and executing transactions and key contracts. Use the legal background to serve as a sounding board and counselor to assist other team members in solving the problem of the day. Collaborate regularly with other members of the legal team to help solve issues on their deals and contracts.
Qualifications: J.D. from accredited law school and current license to practice. Should have 5 years of experience with a law firm or in-house legal department. Experience negotiating project finance (including tax equity) and M&A transactions in the renewable energy industry. Experience negotiating construction and procurement agreements in the renewables energy industry is a plus. Exceptional problem-solving skills and a business-oriented approach to resolving legal issues. Exceptional written, verbal and interpersonal communication skills. Ability to prioritize multiple assignments and meet tight deadlines. Ability to analyze complex issues and advise internal business partners appropriately.
