Corporate and Securities Counsel The candidate will provide legal support to ensure compliance with obligations under federal securities laws and NYSE rules and regulations, including preparation and filing of 10-Ks, 10-Qs, 8-Ks, and proxy statements. Will be the lead legal partner to our global equity team, including executive compensation, equity plans, 10b5-1 plans, Form S-8s, Section 13 and Section 16 filings, and more. Have an opportunity to help implement best practices at a growing company that went public in 2020. Support corporate governance processes, including preparing board and committee meeting agendas, presentations, resolutions, minutes, and other materials, as well as assisting with our electronic board portal. Partner closely with cross-functional teams across the company. Provide support and guidance on other corporate matters, including financial compliance, external communications, and investor relations matters. Help counsel the business with respect to other legal matters, including tax and insurance. Effectively manage outside counsel as needed. Must be an experienced and skilled securities lawyer who has familiarity with corporate transactions in the startup or technology sector. Should have excellent verbal and written communication skills. Must have excellent organizational skills and the ability to manage multiple projects at once, follow through, and meet deadlines. Should have a JD and are admitted to a US State Bar. Must have 5+ years of legal experience in a law firm and/or in-house legal department focused on US securities laws.
