Senior Corporate Counsel The candidate will provide legal counsel on variety of legal issues to a broad spectrum of business and functional areas, including business development, clinical, manufacturing, research & development, IT, commercial and HR. Draft and negotiate a wide variety of contracts, including CDAs, MTAs, MSAs, CTAs, CRO agreements, consulting and physician advisory board agreements, commercial and API supply and manufacturing agreements, quality agreements, and research agreements with partners and academic institutions. Provide counsel and support for litigation, investigations, contract disputes, or other matters requiring specialized expertise, and demonstrate sound judgment in managing cases and interacting with internal business clients. Support the Legal Department in providing legal perspective and advice to guide internal stakeholders in achieving business objectives and making business decisions in compliance with applicable laws and regulations. Participate in the definition and development of corporate policies, procedures and programs. Provide support on all other matters requested by the Deputy General Counsel or other members of the Legal Department, including with respect to litigation matters, as needed. All other duties as assigned.
The candidate should have 5-10 years of experience within a high-growth U.S. publicly-traded biotech and/or pharmaceutical company, or law firm equivalent. A JD degree from an accredited law school and licensed to practice in California (or eligible to practice as Registered In-House Counsel). Self-motivated, practical, and interested in working on a wide range of legal matters to lead the Company on the legal implications of its business strategy. Should have strong verbal and analytical skills, sound business judgment, and excellent negotiation and drafting skills. The ability to manage and complete multiple tight and simultaneous projects on time. Should be very detail-oriented and willing to see projects through from start to finish. Must demonstrate a customer-service orientation and a positive, can-do attitude, balanced with honesty, integrity and trust-building behaviors in all dealings. Be team-oriented and comfortable working with a growing legal team and have a good sense of humor.
