Corporate Counsel (Contract) The candidate seeks to maximize the company's revenue while minimizing the legal and business risk associated with that revenue. Drafts, reviews, and negotiates various company contracts including but not limited to sales, SaaS, supply, consulting, non-disclosure, and vendor agreements, and other business contracts. Ensures compliance with legal, contractual, and risk management policies to minimize and limit corporate liability, manage risk, and optimize the value of contracts. Recommends alternative actions as required to conform with corporate policies and strategies. Prepares board minutes and other corporate governance documents. Provides support regarding internal reports or investigations. Drafts internal policies and procedures. Reviews and summarizes complex legacy legal agreements and provides clear advice as to Company obligations and interpretation of source documents. Possesses and maintains thorough, current knowledge of federal, state, and local laws. Performs other related duties as assigned by the General Counsel. The candidate must have a Juris Doctor (JD) or equivalent law degree from an accredited institution and be located in and licensed to practice law in the United States. Should have 5-10 years of related transactional experience; commercial contracts experience required. Commitment to excellence and high standards. Excellent written and oral communication skills. Ability to work with business personnel to obtain commercial details necessary to prepare appropriate legal documents tailored to business needs. Strong organizational, problem-solving, and analytical skills. Ability to manage priorities and workflow. Versatility, flexibility, and a willingness to work within constantly changing priorities with enthusiasm. Acute attention to detail. Demonstrated ability to plan and organize projects and provide deliverables in a timely manner. Ability to work independently and be accountable to General Counsel on a regular basis. Proven ability to handle multiple projects and meet deadlines. Commitment to confidentiality and discretion. Ability to efficiently draft legal documents in a clear, structured, concise, and thoughtful manner. Prior large law firm experience is strongly preferred. Strong interpersonal skills.
