This wouldn t be possible without the likes of talented engineers who are given the opportunity to fully lead their own projects and the freedom to think outside the box. **Job Description** Arista Networks is seeking a Corporate Counsel to join their team. The Corporate Counsel will be responsible for providing legal advice and counsel on a wide range of corporate and securities matters. This includes, but is not limited to: - Drafting, reviewing and revising SEC filings, including annual and quarterly reports, proxy statements, 8-K filings and other SEC filings; - Assisting with annual meeting matters; - Analyzing and advising on SEC reporting and disclosure matters; - Monitoring SEC and NYSE rules, corporate governance developments and best practices; - Advising on corporate governance and other ESG matters, including Board and committee matters; - Reviewing and providing strategic advice on policies of proxy advisory firms, institutional investors and other ESG rating agencies; - Assisting in corporate policy reviews and improving related policy practices and processes; - Researching and drafting new policies; - Assisting with training; - Assisting with subsidiary management and compliance matters; - Assisting with investments and M&A; - Advising on press releases, investor presentations and other external and internal communications; and - Drafting and negotiating corporate and commercial agreements as needed. **Qualifications** The ideal candidate for this role will have a Juris Doctor Degree and bar membership in good standing, as well as a minimum of 5 years of relevant corporate and securities experience as an attorney. Previous in-house and/or large law firm experience is preferred. Additionally, experience with publicly traded companies and a broad knowledge of federal securities laws is preferred. **Salary Information** The new hire base pay for this role has a salary range of $125,000 to $175,000. The actual salary offered will be based on a wide range of factors, including skills, qualifications, relevant experience, and US location. The salary range provided reflects the base salary and in addition may also be eligible for discretionary Arista bonuses, commissions, equity, and benefits including medical, dental, vision, well-being, tax savings, and income protection.
