# Senior Corporate Counsel ## Job Details The Senior Corporate Counsel position is a full-time role located in Newport Beach, CA. This position is responsible for providing legal support, counsel, and advice related to securities, corporate governance, SEC reporting, entity management, executive compensation, equity program administration, M&A, joint venture, corporate finance, and compliance matters for a publicly-traded corporation. The successful candidate will have a Juris Doctor Degree from an ABA accredited law school plus 4+ years of experience working in-house and/or at a law firm servicing publicly-traded companies in the areas of securities, corporate governance, M&A and financing transactions, and SEC reporting and must be licensed attorney in the State of California. ## Salary Range $165,000 - $275,000 ## Essential Duties and Responsibilities * Provide legal support for SEC reporting and compliance. Draft SEC disclosures and filings such as 10-K, 10-Q, 8-K, proxy statement, and Section 16 reports. Ensure timely and accurate filings. Provide advice, make recommendations, and develop policies and procedures related to disclosure obligations and compliance for a Nasdaq-listed company. * Support the corporate secretary function, providing counsel to the board and its committees, to include preparing meeting agendas and materials, drafting resolutions, coordinating logistics, and drafting minutes. Ensure compliance with corporate governance guidelines and committee charters. * Support strategic transactional matters such as M&A, corporate finance and capital markets transactions, M&A, and joint venture deals. Provide transactional and operational counsel on these matters. Conduct due diligence and attend to post-closing matters. * Manage insider trading program. Prepare and file Section 16 reports (Forms 3, 4, 5). * Assist with executive compensation planning, governance, documentation, and reporting. * Support the equity compensation program. Advise on all aspects of equity management. * Keep current on SEC and Nasdaq filing and listing requirements. * Manage legal entities, to include drafting resolutions, consents, minutes, certificates, charters, bylaws, and LLC agreements. Ensure compliance with applicable entity governance and reporting requirements. * Support the compliance function by drafting, maintaining, and implementing internal policies and training programs. * Manage the intellectual property program. * Advise on investor relations, corporate communications, marketing, corporate social responsibility, ESG, and sustainability. * Effectively manage and oversee legal work performed by paralegal and external counsel. * Keep abreast of legal developments affecting the company and inform other company attorneys and affected personnel of such developments. * Draft, review, and negotiate commercial agreements, licenses, NDAs, and employment agreements on an as-needed basis. * Provide general legal support and consultation to individuals at all levels of the company in legal, human resources, real estate, litigation, regulatory, government relations, lobbying, development, operations, construction and engineering, operations, sales, finance and accounting, tax, marketing, internal and external communications, investor relations, privacy/security, information technology, and distribution. * Other duties as assigned. ## Supervisory Responsibilities This position has supervisory responsibilities. Manages and supervises a paralegal and external counsel. ## Qualifications To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Ability to draft contracts, disclosures, filings, and other legal documents and business correspondence. Ability to effectively present information and respond to questions from executives, managers, clients and customers. * Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, area, circumference, and volume. Ability to apply concepts of basic algebra and geometry. * Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists.
