Corporate Counsel Duties: The candidate will be identifying, communicating, prioritizing and resolving Legal issues related to the development of cloud computing, virtualization and mobility Product and service offerings. Will be providing day-to-day Legal advice and support to the extended Product, Marketing and development teams, including advice on a broad range of global issues. This position requires a strong understanding of Commercial transactions, including in-bound Commercial licenses, patent licenses and open source licenses, as well as knowledge of data privacy, Security, and worldwide regulatory issues related to cloud and mobile offerings. Structuring and Drafting OEM and Distribution agreements for distributing, licensing and Marketing cloud, virtualization and mobility Product and service offerings, as well as negotiating non-standard Technology service agreements and other complex go-to-market Technology agreements. Further, structuring, negotiating, Drafting and analyzing Commercial transactions related to the sale of audio, video and network systems equipment (which may include both hardware and software components) such as reseller agreements, distributor agreements, OEM agreements, development agreements, Consulting agreements, subscription agreements, application licensing agreements and Technology service agreements. Achieving and maintaining consistency with worldwide contracting policies with Management, employees, customers, partners, and outside counsel. Remaining informed of all Legal developments related to areas of responsibility; informing Management of all Legal developments and their potential impact on the Company; reporting to colleagues in the Legal department, the Associate General Counsel, and senior Management on all matters and responsibilities associated with this position; and coordinating with other Legal department lawyers to ensure consistent Legal positions and strategies are maintained on a worldwide basis to the extent possible. Qualifications: The candidate should have a law degree from a top accredited law school. Should have admission to practice law in California (and/or current home state). Must have 5+ years of Legal experience in Commercial transactions with in-house experience working on cloud computing and mobile products and services. Must have expertise in software/technology licensing, including significant knowledge relating to cloud computing, virtualization, mobility Product and service offerings and data privacy. Should have excellent knowledge of a broad range of Commercial law. Should preferably have significant experience in negotiating complex deals with service providers, large Technology providers and Fortune 1000 companies.
