Michigan - Senior Vice President of Finance

The candidate will provide leadership and direction for developing and implementing regional finance, legal, and risk management strategies and initiatives in order to achieve company's corporate objectives and strategic targets. Will partner with the operating business to ensure that financial, legal, and risk capability and service across the Region is continuously aligned and developed and is delivered efficiently and effectively. Direct and coordinate designated Company financial activities according to financial principles and government regulations. Coordinate activities of assigned programs and determines methods and procedures and policies for carrying out programs. Ensure regional finance function operates in accordance with Group policies and procedures. Must have 10-15 years of executive management experience in finance/legal/risk or related field and knowledge of applicable laws and regulations. Primary responsibilities include overseeing of complex tax research projects for clients in diverse industries; participation in engagements requiring tax analysis for a variety of entities and their affiliates; research and analysis of a wide-range of tax issues related to business transactions and tax implications of financing techniques; and tax planning responsibilities for our corporate and individual clients. Supervise assignments by the professional accountants serving as Consultants and Senior Consultants. Will have responsibility for the development and motivation of engagement staff by providing them with leadership, counseling and career guidance.

The candidate should have a Bachelor's degree in Accounting, Finance or other business related field. CPA, Enrolled Agent or other appropriate certification required. Advanced degree like MST, MAcc, J.D. degree or LL.M. is preferred. Must have 4+ years of public accounting experience or equivalent in law firms or industry. Should have excellent research and writing skills. Prior Big 4 experience a plus. Some travel may be required.

The candidate will partner with and provide legal support to various functions, such as company's treasury, risk management, government relations, corporate communications, and real estate groups. Implement company policies, including insider trading and related party transaction policies. Plan and oversee annual meeting of stockholders. Assist with the Board function, other matters relating to corporate governance, and subsidiary management. Provide day-to-day legal counsel to the finance group, including accounting, tax and treasury. Provide legal support for corporate projects, including debt/equity offerings, M&A. Assist with oversight of the legal function, including managing budgets and related costs to ensure effective use and deployment of both inside and outside legal resources.

The candidate should have a J.D. degree from an accredited law school and Bar admission. Must have 8+ years of SEC subject matter experience, preferably with specific experience in public reporting duties. Prior experience as in-house securities counsel preferred, but law firm candidates will be considered.
