The candidate will oversee the Corporate Compliance Program and review and evaluate compliance issues/concerns within the organization. Will ensure that all members of the organization are adhering to and are in compliance with the regulatory policy, procedure, and standards as described by the business and required by applicable laws, regulations, policies, and guidance. Manage day-to-day operation of the program. Develop, initiate, maintain, and revise policies and procedures for the general operation of the Compliance Program and its related activities to prevent illegal, unethical, or improper conduct. Develop and periodically review and update Standards of Conduct to ensure continuing currency and relevance in providing guidance to management and employees. Collaborate with other departments to direct compliance issues to appropriate existing channels for investigation and resolution. Respond to alleged violations of rules, regulations, policies, procedures, and Standards of Conduct by evaluating or recommending the initiation of investigative procedures. Develop and oversee a system for uniform handling of such violations. Act as an independent review and evaluation body to ensure that compliance issues/concerns within the organization are being appropriately evaluated, investigated and resolved. Monitor, and as necessary, coordinate compliance activities of other departments to remain abreast of the status of all compliance activities and to identify trends. Identify potential areas of compliance vulnerability and risk. The candidate should preferably have J.D. or other Master's level degree or equivalent combination of education, training and experience. License to practice law is strongly preferred. Should preferably be Certified in Healthcare Compliance (CCH) or equivalent, Certified in Healthcare Research Compliance (CHRC) or equivalent, or Certified IRB Professional (CIP). Must have 6+ years of experience in a health care in-house legal or compliance department. Should also have 5+ years of experience in a management role within a healthcare or clinical research organization with 3+ years of experience overseeing Corrective And Preventive Action plans, working with Change Control boards in the implementation of change to policy and procedure, and directly working with regulatory agencies. Will team up with other international tax team members, collectively operating as business partners, gaining a deep, end-to-end understanding of various business initiatives. Participate in strategic and operational governance processes of the organization particularly in the Finance, Legal, and Risk Management areas. Direct all legal functions of the company and assure legal representation for the company's business by overseeing the resources needed to provide legal support, advice and sound recommendations to all levels of the organization. Establish legal services required by the organization and ensure that the organization is protected from any legal action. Oversee maintenance of corporate activities at all subsidiary levels. Provide contracting oversight. Responsible for establishing best practices for contract preparation, review and negotiation for corporate operations. Provide strategy, direction and oversight of litigation and claims for optimum results. Investigate claims against the company, working with appropriate internal/external staff/resources for response and resolution. Ensure legal function operates in accordance with Group policies and procedures. Participate as a member of the Regional Leadership Group (RLG) and advisor to corporate services groups and corporate committees. Facilitate global communications networks to maximize information sharing, quality and consistency. Develop business case justifications and cost/benefit analyses for spending initiatives. Ensure implementation and compliance with company's related operations and policies. Plan, develop, and implement policies, and establish objectives of all the organization's Finance, Legal and Risk functions in accordance with the organization's objectives. Build strategic relationships with external stakeholders and organizations to improve outcomes for the Region and to assist in the robust development and implementation of company's and the Region's strategies and operations.

The candidate should have a Bachelor's degree in Accounting, Finance or related field. MBA and/or J.D. degree preferred. CA or CPA also preferred. Must have 10-15 years of executive management experience in finance/legal/risk or related field and knowledge of applicable laws and regulations. Should have executive level experience in business processes, leadership, management, client service, budgeting, people management, communications, commercial processes, insurance and consultation. Experience in developing financial knowledge to improve business systems is required. International business experience is required.

The candidate will assist with supporting US international inbound and outbound tax planning and supporting company's various business offerings. Will team up with other international tax team members, collectively operating as business partners, gaining a deep, end-to-end understanding of various business initiatives. Work closely with other members of the global tax department to assist with communicating current and future business plans, obtain cross functional tax subject matter input to address all tax disciplines, and ensure coordination of cross functional tax solutions. Identify and document business proposals. Design and lead the implementation of optimal tax structures for various new business initiatives (e.g. income sourcing, income characterization, PE analysis, funding, currency issues, etc.). Liaise with financial personnel as well as both US and foreign outside tax advisors. Develop strategies to optimize the use of foreign tax credits generated by proposed business models. Evaluate business proposals to identify strategies with respect to financing, dividends, and treaty opportunities. Write technical and non-technical tax research and compliance memos. Write detailed tax requirements to be used by various business partners throughout the company.

The candidate should have a Bachelor's degree. CPA and/or MST preferred. J.D., LL.M. or MST degree would be a plus. Must have 3+ years of progressive international tax income tax experience in a large corporate environment and/or public accounting or large law firm. Should have understanding of the international tax provisions of the Internal Revenue Code and Regulations. Understanding of accounting concepts preferred.
