Senior Corporate Counsel - Technology Transactions and Product Development

Bellevue WA Senior Corporate Counsel - Technology Transactions and Product Development Responsibilities: Structure, draft, negotiate, and interpret critical contracts, including: development agreements, hardware manufacture and supply agreements, services agreements (including outsourcing, cloud service, SaaS software as a service, software licensing, managed services, and infrastructure as a service), software/technology licenses, and general product and service procurement agreements. Advise senior business executives and their teams on legal issues related to consumer and commercial product development and IT procurement, including intellectual property, import/export regulations, privacy and data use, consumer protection, product liability, etc. Develop an understanding of business goals and the technology necessary to achieve them. Meet with developers, engineers, product managers, and business executives on a regular basis to conduct legal reviews of business and product development activities. Collaborate with peers and leaders in legal department and other business departments to ensure project and deal outcomes align with priorities, support company goals, comply with legal requirements, and adequately mitigate enterprise risk. Field a wide range of issues related to product support (development, launch, maintenance, incident response, dispute resolution product enhancements, etc.). Qualifications: A U.S. law degree and admission to at least one state bar required. Must have 5+ years of experience structuring and drafting complex technical and commercial deals. Demonstrated ability to recognize and weigh business and legal risks, think strategically and advance creative, practical solutions in the face of ambiguity and imperfect information. The candidate will oversee the Corporate Compliance Program and review and evaluate compliance issues/concerns within the organization. Will ensure that all members of the organization are adhering to and are in compliance with the regulatory policy, procedure, and standards as described by the business and required by applicable laws, regulations, policies, and guidance. Manage day-to-day operation of the program. Develop, initiate, maintain, and revise policies and procedures for the general operation of the Compliance Program and its related activities to prevent illegal, unethical, or improper conduct. Develop and periodically review and update Standards of Conduct to ensure continuing currency and relevance in providing guidance to management and employees. Collaborate with other departments to direct compliance issues to appropriate existing channels for investigation and resolution. Respond to alleged violations of rules, regulations, policies, procedures, and Standards of Conduct by evaluating or recommending the initiation of investigative procedures. Develop and oversee a system for uniform handling of such violations. Act as an independent review and evaluation body to ensure that compliance issues/concerns within the organization are being appropriately evaluated, investigated and resolved. Monitor, and as necessary, coordinate compliance activities of other departments to remain abreast of the status of all compliance activities and to identify trends. Identify potential areas of compliance vulnerability and risk. Develop/implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid or deal with similar situations in the future. Provide reports on a regular basis, and as directed or requested, to keep senior management informed of the operation and progress of compliance efforts. Ensure proper reporting of violations or potential violations to duly authorized enforcement agencies as appropriate and/or required.

The candidate should preferably have J.D. or other Master's level degree or equivalent combination of education, training and experience. License to practice law is strongly preferred. Should preferably be Certified in Healthcare Compliance (CCH) or equivalent, Certified in Healthcare Research Compliance (CHRC) or equivalent, or Certified IRB Professional (CIP). Must have 6+ years of experience in a health care in-house legal or compliance department. Should also have 5+ years of experience in a management role within a healthcare or clinical research organization with 3+ years of experience overseeing Corrective And Preventive Action plans, working with Change Control boards in the implementation of change to policy and procedure, and directly working with regulatory agencies. Develop strategies to minimize the potential Subpart F generated by proposed business models. Assist with the evaluation of proposed business models with an aim at developing strategies to mobilize foreign cash, maximize tax effective foreign cash repatriation, and generally coordinate and liaise with the treasury department with respect to global cash management. Liaise with financial personnel as well as both US and foreign outside tax advisors. Write technical and non-technical tax research and compliance memos. Write detailed tax requirements to be used by various business partners throughout the company. Develop and maintain knowledge of federal and international tax laws and current developments. Monitor industry positions relevant to company's international business operations. May be responsible for planning, coordinating, supervising and reviewing the work of more junior tax staff.

The candidate should have J.D. or Bachelor's degree in accounting preferably with CPA, MST or LL.M. degree. Must have 8+ years of progressive international tax income tax experience in a large corporate environment and/or public accounting or large law firm. Understanding of accounting concepts is required. Must have a strong managerial background with superb project management experience, and a good understanding of the international tax provisions of the Internal Revenue Code and Regulations.

Identify potential areas of compliance vulnerability and risk. The candidate should preferably have J.D. or other Master's level degree or equivalent combination of education, training and experience. License to practice law is strongly preferred. Should preferably be Certified in Healthcare Compliance (CCH) or equivalent, Certified in Healthcare Research Compliance (CHRC) or equivalent, or Certified IRB Professional (CIP). Must have 6+ years of experience in a health care in-house legal or compliance department. Should also have 5+ years of experience in a management role within a healthcare or clinical research organization with 3+ years of experience overseeing Corrective And Preventive Action plans, working with Change Control boards in the implementation of change to policy and procedure, and directly working with regulatory agencies. The candidate should have J.D. or Bachelor's degree in accounting preferably with CPA, MST or LL.M. degree. Must have 8+ years of progressive international tax income tax experience in a large corporate environment and/or public accounting or large law firm. Understanding of accounting concepts is required.
