Will be responsible for ensuring that company establishes and maintains an effective ethics and compliance framework and program that is aligned with best practices and global statutory requirements, thus enabling executives and board directors to meet their fiduciary responsibilities and the company's attainment of business goals. Report to the Corporate Vice President of Risk Management. Develop, implement and maintain a global ethics and compliance program, the framework of which satisfies Federal Sentencing Guidelines, other global regulatory requirements and industry best practices. Work as part of a team of senior Risk leaders in the development of the company's overall integrated risk framework within which the compliance framework shall reside. Work in collaboration with business leaders to identify core areas of compliance requirements, assess current vs. desired state, develop and execute a risk-based, multi-year road map for program implementation. Research and stay abreast of industry best practices, implementing continuous improvement to the compliance framework and programs in achieving greater efficiency and effectiveness. Primary duties include: Collaborate with business units to identify and research international tax planning opportunities. Senior Corporate Counsel
The candidate will serve as the primary lawyer responsible for counseling the business on a broad range of commercial and regulatory matters and structuring, drafting and negotiating commercial transactions. Will work directly with the business, serving as lead counsel on strategic deals, providing day-to-day advice, resolving issues that arise in existing commercial relationships and handling pre-litigation legal disputes and inquiries. Will structure, draft and negotiate complicated technology, distribution, licensing, marketing and other commercial agreements and providing ongoing legal counseling in a wide range of legal areas, including intellectual property, digital media and regulatory compliance. Some travel, domestic and international, will be required.

The candidate should have a J.D. degree and membership in good standing in at least one State Bar. Must have 8+ years of legal experience (with 2+ years at a law firm) as a transactional attorney, preferably with some portion of that experience in technology and commercial transactions. A mix of corporate law firm and in-house experience is a plus. Admission to the Washington State Bar Association is preferred.

Senior International Tax Analyst
The candidate will be responsible for research, planning, and project implementation. Primary duties include: Collaborate with business units to identify and research international tax planning opportunities. Evaluate the tax effect and implications of international business initiatives, contemplated transactions, and business proposals to advise management on the tax implications. Assist with due diligence and integration for acquisitions and review and research international tax questions for tax planning, tax accounting and tax compliance purposes. Assist with scoping and establishing foreign filing requirements for new entities and changes to current structure and prepare FIN 48 memos and related analysis. Develop and maintain knowledge of federal and international tax laws and current developments. Monitor industry positions relevant to company's international business operations. Review financial data for proper application of tax laws and transfer pricing.

The candidate should preferably have a Bachelor's degree in accounting. CPA strongly preferred. A J.D., LL.M. or MST would be a plus. Must have 3+ years of corporate tax experience with significant exposure to international tax in a Big 4 public accounting firm, major law firm, and/or a multinational corporation. Should have understanding of accounting concepts. Thorough understanding of both subchapter C and the international tax provisions of the Internal Revenue Code and Regulations is needed.
