Corporate Counsel, IP Transactions and Emerging Commercial Technologies Duties: Act as the primary legal contact for high-impact business groups in MCAPS, anticipating and addressing highly complex legal and business issues, and serving as a key business partner and advisor to senior executives. Participate in complex technology transactions and develop negotiation strategies. Creatively solve problems and coordinate across CELA and business team subject matter experts. Utilize outside counsel effectively and guide escalations to appropriate senior leaders in order to take smart and well-informed risks to meet customer needs. Stay informed of rules, regulations, and other statutory requirements relating to Microsoft business and advise business clients and CELA colleagues accordingly. Communicate in a manner that advances negotiations and projects, creates clarity, utilizes insights, and advances closure of open issues. Develop commercial programs that deliver Microsoft technology and technical expertise to customers at scale. Support the business teams in ensuring legal compliance and in providing solutions to mitigate risks. Qualifications: JD Degree or Equivalent International Degree. OR Completion of a Legal Apprenticeship. Additional or Preferred Qualifications: 1+ years experience as an attorney in transactional agreements.

Senior Corporate Counsel The candidate will be reviewing, drafting and negotiating contracts, subcontracts, teaming agreements, non-disclosure agreements and other documents relating to the sale of T-Mobile products and services to SLED agencies. Will be reviewing solicitations/RFPs for adherence to T-Mobile policies and legal requirements, and providing cradle-to-grave contract support from proposal stage through contract negotiation/award, and disputes and expiration/termination. Interfacing with attorneys and subject matter experts throughout T-Mobile, including specialists in cybersecurity, litigation, tax, intellectual property, risk management, human resources and proposal management. Working with cross-functional teams on company-wide compliance efforts, including responding to government audits and investigations, as well development and implementation of policies and training programs. Advising sales teams on ethics, compliance and gratuity rules for conducting government business. Review of Sales/Marketing materials for contractual and regulatory compliance.

The candidate should have a U.S. law degree and admission to at least one State Bar. Must have 7+ years of transactional contracting experience as an attorney with a government agency, in-house legal department and/or law firm. Familiarity with telecommunications industry a plus. Must have excellent communication and negotiation skills; ability to handle quick turnarounds and work effectively with Sales teams and cross-functional subject matter experts. Strong oral and written communication skills, as well as outstanding organizational and analytical skills required.

Outstanding written and oral communication skills and ability to work both in teams and independently. Ability to handle multiple assignments simultaneously, with effective resolution of conflicting priorities. Openness to adapting practice in response to the changing landscape of the industry. Facilitate a team-based approach to subject matter management and knowledge sharing, and comfort with a flexible, agile environment that emphasizes collaboration and team performance over management hierarchy. Desire and ability to work as part of a team and with diverse groups and cultures.
