San Francisco CA Counsel, Litigation & Risk Responsibilities: Primary responsibility meaning, hands-on work, not just supervising outside counsel for a variety of legal matters, with an emphasis on personal injury cases, as well as pre-litigation dispute resolution. Collaborate closely with fellow Legal Team members to develop and implement litigation strategy with an eye toward impact on Company broader business objectives. Proactively approach all aspects of litigation, including discovery, motion practice, witness preparation, and trial and appellate strategies. Tax Counsel Responsibilities: Coordinating IRS exams and significant U.S. state tax audits, including acting as a primary point of contact for auditors, coordinating the internal data collection process to respond to audit requests, drafting and reviewing written responses to taxing authorities, performing technical research, maintaining audit files and consulting with external advisors. Performing technical research on U.S. tax topics to support the tax team, as needed. Topics could include executive compensation, payroll tax, sub-C, sub-K, accounting methods and not-for-profit among others. Preparing memoranda to document technical positions. Supporting the tax accounting team in evaluating uncertain tax positions. Supporting the tax team with special projects, including the evaluation of potential acquisitions.

Requirements: JD Degree required. LLM degree preferred. CPA ccredential a plus. 5+ years of law firm or public accounting experience with a proven track record of high-performance. Self-motivated with a strong work ethic. Effective at managing accelerated deadlines and competing priorities. Detail-oriented with effective organization and execution skills.
