Counsel, Corporate - M&a

San Francisco CA Counsel, Corporate - M&A Lead domestic and international M&A transactions and strategic investments, including coordination of legal strategy, risk management, negotiation and due diligence. Partner with Corporate Development, Finance and People teams and manage cross-functional legal experts to execute transactions. Support major M&A transactions and complex strategic initiatives. Corporate Counsel The candidate will provide legal support to firm and will have the ability to contribute directly to company' future growth. Primary responsibilities fall into the following categories: Drafting and negotiating a wide variety of complex cell site lease agreements (tower, rooftop, small cell, pole attachment, DAS, etc.), construction and deployment agreements, zoning and permitting issues and services agreements. Counseling firm on various legal issues. Working closely with business team to accomplish goals and strategic objectives. Assisting with other responsibilities as needed/ should have Bachelor's degree from a four-year college or university. Must be admitted to practice law in at least one state. J.D. from an ABA-accredited law school with a law school class rank in the top 25% is required. must have 5-10 years of experience drafting and negotiating a wide variety of complex commercial agreements with a large national or regional law firm or leading corporation. Should have 2+ years' experience drafting and negotiating wireless real estate agreements.

The candidate should have 5-7 years of relevant privacy experience in the technology or a regulated industry sector. Must be qualified to practice in at least one U.S. state, preferably California, with a law degree from a reputable law school. Working knowledge of national and international privacy laws, including HIPAA as it applies to Business Associates, is required. Superior language, written and verbal communication skills needed. Experience in high technology or telecommunication companies preferred.

Will product counseling teams building core infrastructure and privacy infrastructure. Serve as subject matter expert to support business and other legal teams regarding global privacy laws and other obligations, including CCPA, GDPR, and LGPD. Support members of the legal, business, and policy teams on privacy-related legal matters, including areas related to partnerships, acquisitions, integrations, and other business development opportunities.

The candidate should have J.D. degree (or foreign equivalent) and membership in at least one US State Bar. Must have 5+ years of legal experience, including at a law firm and/or in-house experience. Experience working with product or tech teams and experience translating technical concepts is required. Business judgment and client counseling experience is needed. Experience with global privacy laws, regulations, and industry guidelines, especially including those relevant for social media, ad tech and Internet companies is preferred. Experience advancing projects in a multi-stakeholder environment is desired. Experience with, understanding of, and enthusiasm towards innovative technologies, including those related to privacy and data security is a plus.
